-The company’s adjusted earnings came in at $375 million, or 63 cents per share; this is in line with analysts’ EPS estimates.
-CTL gave EPS guidance for the fourth quarter of 55 cents to 60 cents, which is below the 63 cents that analysts are expecting.
-Q4 guidance for revenue is in the range of $4.5 billion to $4.55 billion, which is in line with analysts’ views.

Endo will acquire NuPathe for $2.85 per share, a 24% premium to its close of $2.30 on Friday. NuPathe shareholders will receive rights to receive additional cash payments of up to $3.15 per share if the company’s migraine treatment Zecuity meets certain sales milestones. NuPathe shares were up 51% at $3.48 in premarket trading.

    ATMI Inc. (ATMI)

    Gabelli reported a stake of 1,193,900 shares of ATMI Inc., sized at 0.22% of his portfolio, and 3.75% of the company. It has a market cap of $1.08 billion; its shares are trading at $34.04 with a P/E ratio of 28.6 and P/S ratio of 2.77.

    ATMI supplies high performance materials, materials packaging and materials delivery systems for use in the manufacture of microelectronics devices worldwide. ATMI agreed to be acquired by Entegris (ENTG) for $1.15 billion, or $34 per share. The deal will provide a lot more of product offerings. The acquisition is expected to close during the second calendar quarter of 2014.

Pacific Coast Oil Trust is a statutory trust formed by Pacific Coast Energy Company LP (PCEC) to own interests in the Underlying Properties. As of December 31, 2011, the Underlying Properties consisted of the proved developed reserves on the Underlying Properties, which it refers to as the Developed Properties, and all other development potential on the Underlying Properties, which it refers to as the Remaining Properties. The Underlying Properties are located in California in the Santa Maria and Los Angeles Basins. PCEC produces oil and natural gas from its Orcutt properties in the Santa Maria Basin. The production in the Orcutt oilfield is produced from formations utilizing conventional production methods.

PCEC is engaged in the production and development of oil and natural gas from properties located in California. As of December 31, 2011, PCEC held interests in approximately 276 gross (215 net) producing wells, and had proved reserves of approximately 34.1 million barrels of oil equivalent.
